It does take place in many animals undergoing external fertilization.  The frog, the toad and the newt are examples.  Metamorphosis occurs in almost every division of the animal kingdom that is not a vertebrate.  Insects would fall into this category.  To be considered as a form of metamorphosis, the change in shape and mode of life of the animal must occur within a relatively short amount of time and without deviation in size.  In order for metamorphosis to take place, the adult and the larva must have different habitats.
